Terms of Service

1. Acceptance of Terms

By accessing or using BriefGenius (the "Service"), operated by BriefGenius ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

BriefGenius is an AI-powered content brief generation platform that helps content teams, agencies, and individual content professionals create SEO-optimized content briefs. The Service uses artificial intelligence (including large language models) to analyze keywords and generate content briefs that include search intent classification, content outlines, semantic keywords, People Also Ask questions, meta descriptions, and other SEO-relevant elements.

3. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Payment

4.1 Free Tier

BriefGenius offers a free tier that includes a limited number of content briefs. The free tier does not require payment information and is subject to the usage limits described at the time of registration.

4.2 Paid Plans

Paid subscription plans provide additional features and higher usage limits. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are in US dollars unless otherwise stated.

4.3 Billing and Renewal

Paid plans are billed on a monthly recurring basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Payment is processed through Stripe, and you authorize us to charge your payment method on file for recurring fees.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or billing portal. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period. We do not provide prorated refunds for partial billing periods. Unused briefs do not carry over between billing periods and are forfeited upon cancellation.

4.5 Price Changes

We reserve the right to change our pricing at any time. Price changes will be communicated at least 30 days in advance via email. Price changes will apply to billing periods beginning after the effective date of the change.

5. Ownership and Intellectual Property

5.1 Your Content

You retain full ownership of all content briefs generated using the Service. You may use, modify, distribute, and commercially exploit your generated briefs without restriction. We claim no ownership rights over your inputs or generated outputs.

5.2 Our Service

The Service, including its design, features, code, algorithms, and documentation, is owned by BriefGenius and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, implement, and incorporate that feedback into the Service without obligation to you.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Generate content that is defamatory, obscene, harassing, or promotes violence or discrimination
• Attempt to reverse-engineer, decompile, or extract the source code or algorithms of the Service
• Use automated scripts, bots, or scrapers to access the Service in ways not explicitly authorized
• Resell, redistribute, or sublicense the Service itself (you may freely use and sell the generated outputs)
• Interfere with or disrupt the Service's infrastructure or other users' access
• Exceed your plan's usage limits through manipulation or circumvention
• Use the Service to generate content for illegal purposes or spam

7. AI-Generated Content Disclaimer

Content briefs generated by the Service are produced by artificial intelligence and are provided "as is." While we strive for accuracy and quality, you acknowledge and agree that:

• AI-generated content may contain inaccuracies, errors, or outdated information
• Generated briefs are intended as starting points and guidance, not as definitive SEO advice or guarantees of search ranking performance
• You are responsible for reviewing, verifying, and editing all generated content before use
• Search engine algorithms and ranking factors are outside our control, and we make no guarantees about SEO performance of content produced from our briefs
• Similar inputs from different users may produce similar outputs due to the nature of AI generation

8. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance (we will provide advance notice when possible), unscheduled maintenance for critical updates or security patches, third-party service outages (including AI model provider downtime), or force majeure events. We will use commercially reasonable efforts to minimize downtime and restore service promptly.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BriefGenius and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times, or that the generated content will meet your specific requirements or achieve any particular search engine ranking results.

11. Indemnification

You agree to indemnify, defend, and hold harmless BriefGenius and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or any content you create using outputs from the Service.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated at least 30 days before taking effect via email or in-app notification. Your continued use of the Service after the effective date of modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination include violation of these Terms, fraudulent or abusive use of the Service, failure to pay applicable fees, or at our discretion for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your generated briefs before termination. We will retain your data for 30 days after termination to allow for data export, after which it may be permanently deleted.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Toronto, Ontario, Canada, in accordance with the rules of the ADR Institute of Canada. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BriefGenius regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
